4. Payment and Billing

4.1 Payment terms and conditions will be defined in the separate agreement between the Company and the Client.

4.2 Invoices for services rendered will be issued as specified in the agreement, and payment is due within the agreed-upon timeframe.

5. Intellectual Property

5.1 The intellectual property rights to any software, applications, or materials developed or provided by the Company will be outlined in the separate agreement.

6. Warranty and Liability

6.1 The Company will make reasonable efforts to provide services as agreed upon. However, the Company does not guarantee the success or outcomes of the services provided.

6.2 The Company is not liable for any direct or indirect damages, including but not limited to loss of data, loss of revenue, or consequential damages resulting from the use of our services.

7. Termination

7.1 The Client may terminate the agreement with the Company as outlined in the separate agreement. Termination may incur additional costs or fees, depending on the terms of the agreement.

8. Dispute Resolution

8.1 In the event of a dispute, the Company and the Client agree to seek resolution through negotiation and mediation.

9. Governing Law

9.1 These terms and conditions are governed by the laws of California, and any disputes will be subject to the exclusive jurisdiction of the courts in California.

10. Changes to Terms and Conditions

10.1 The Company reserves the right to update and amend these terms and conditions. Notice of changes will be provided to the Client via email or by posting the updated terms on the Company’s website.
